Features Of The Legal Regulation Of Relations With The Acquisitions Under The Laws Of The Member States Of The European Union

Abstract

The paper examines issues related to the study of international legal regulation of relations experience with acquisitions in the light of the following models: Anglo-Saxon, American and European. It is proved that a hostile takeover inherent Anglo-American legal family, while friendly – states of continental Europe. In European countries questions acquisitions of companies governed by a set of complex rules contained in the law companies, contract law, the law of exchange, as well as rules governing financial disclosure. Established that the Thirteenth Directive does not is imperative, enabling States Parties at the national level to waive the application of a proposed directive mechanism of legal regulation investigated relationships. The EU legislation governing acquisitions of companies is that legislation which illustrates the differences in corporate law the EU Member States.
Established that the term acquisitions, that can be both friendly and hostile, in foreign countries differs significantly from that legal phenomenon that occurs in Ukraine. Also is established that in Ukraine almost no legislation that would clearly regulate the relationship acquisitions. This situation is due to the multiplicity of existing legislation governing the status of legal entities of different legal forms, and the lack of a single law governing this sphere of corporate relations.
